Project based work plans
Work will be well defined according to the type of assignment being undertaken and the duration of the project. This will be planned and agreed by Futurecentric and the client prior to commencing work.
Fixed Price Projects
All work undertaken will be on a fixed price basis, will be subject to specific negotiation and agreement on price before project commencement.
For projects taking less than 8 weeks time in total, one half of the agreed amount will fall due on acceptance of the contract and the remainder will fall due on completion of the contract.
For all other contracts, a payment schedule will be specified in the contract document usually on the basis of equal fortnightly payments.
GST
All costs will be subject to GST.
Disbursements
All disbursements incurred by Futurecentric for items including, but not limited to accommodation, meals, toll calls, courier fees, freight, photocopying, printing documentation, and so forth, will be on-charged to the client at cost, without the addition of any charges.
Additional Charges
If Futurecentric becomes responsible for sales tax, customs duty or other taxes, duties, tariffs or surcharges imposed by any governmental or statutory authority; these will be on-charged to the client at cost.
Travel
Where travel is required, travelling time will be included in the specified fixed price of the contract. Travel expenses on public transport for travel outside of the Wellington CBD will be on-charged to the client at cost.
Invoicing
Invoices are due for payment 7 business days after invoice date or on the date specified in the contract. Futurecentric reserves the right to charge the client any fees, or interest costs involved in settlement and/or recovery of any amount owing to Futurecentric.
Timetable
Futurecentric will apply its best efforts to meet agreed timetables, but this falls outside the conditions of any agreement.
Status Reports
Futurecentric will normally report to the client according to the contract. Reports will include any changes anticipated to work completed, work planned and the estimated completion times.
Termination
A negotiated agreement regarding termination and dispute resolution will appear in the contract. In the event of such termination, Futurecentric will negotiate a fair price for work already undertaken.
Professional Responsibility
Futurecentric accepts it's professional responsibility to provide services which, as far as is reasonably practical, meet the statement of work agreed between Futurecentric and the client.
Warranty
Futurecentric warrants that all services supplied by it during any assignment will be performed with professional care and skill and in accordance with accepted industry practice.
Confidentiality
Futurecentric accepts its responsibility to maintain confidentiality of information relating to clients and expects individual consultants to sign confidentiality agreements with clients if specifically requested to do so by the client.
Ownership
All materials, written or electronic, delivered to the client during an assignment, belong exclusively to Futurecentric until such time as full payment is received by Futurecentric, at which time ownership vests with the client.
Ideas, concepts, knowledge or techniques developed by Futurecentric during the course of an assignment may be used by either Futurecentric or the client, singly or jointly, in any way deemed appropriate by either party.
All methodology and techniques that Futurecentric makes available to the client, as part of an assignment, shall remain the property of Futurecentric.
Legal Jurisdiction
Futurecentric provides its services under the laws of New Zealand.
Contracts
This document defines the standard trade terms for Futurecentric. If a contract conflicts with these terms, then the specific clause in the contract replaces that clause in the Terms of Service.
Assignment Information
Unless the client specifically refuses permission, a general description of the assignment and the name of the organisation may be used in Futurecentric’s general marketing information and consultants’ personal profiles to indicate to prospective clients the type of work undertaken by Futurecentric.
